General Terms and Conditions of RunDigi GmbH

1. Area of application

These terms and conditions apply to all services and contracts between RunDigi (hereinafter referred to as the “Contractor”) and its customers, unless otherwise agreed in writing.

2. Services

The contractor provides consulting services in the areas of enterprise architecture, IT strategy, and digitalization. The services are deemed to have been rendered when the agreed analyses, concepts, or architecture models have been delivered or the agreed consulting period has been completed.

3. Customer's obligation to cooperate

The customer is obliged to provide the contractor with all information, documents, and access necessary for the execution of the order in a timely and complete manner.

4. Intellectual property and rights of use

  • All copyrights to the works created by the contractor (concepts, architectural sketches, models, strategy papers) remain with the contractor.
  • The customer receives a non-exclusive right of use to the results for internal use, unlimited in time and location. Any transfer to third parties or commercial use requires written consent.

5. Compensation and payment terms

Unless otherwise agreed, billing shall be based on actual expenditure in accordance with the contractor's current hourly rates. Invoices are payable without deduction within 30 days of the invoice date.

6. Confidentiality and data protection

Both parties undertake to treat all information received in connection with the order as confidential. Personal data will be processed in accordance with the Swiss Data Protection Act (nDSG). See also our privacy conditions.

7. Liability

  • The contractor shall only be liable for damages caused by gross negligence or intent.
  • Liability for slight negligence, indirect damage, or consequential damage (e.g., loss of profit, loss of data) is excluded to the extent permitted by law.
  • Liability is limited to the amount of the fee for the respective individual order.

8. Termination of the contract

Unless a fixed term has been agreed, consulting contracts may be terminated in writing with 30 days' notice. Services already rendered shall be remunerated.

9. Final provisions

  • Changes to these Terms and Conditions must be made in writing.
  • Should parts of these General Terms and Conditions be invalid, the remainder of the contract shall remain valid.
  • Place of jurisdiction and applicable law: Swiss law applies exclusively. The place of jurisdiction is Zug.
